Terms of Service

These Terms of Service ("Terms") govern your access to and use of primeshot.media (the "Site"), operated by Prime Shot Media Inc., doing business as Prime Shot Media ("PSM", "we", "us"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Informational purpose only

The Site and the tools on it — including the service-area availability check and the revenue calculator — are provided for general information only.

Calculator outputs are planning estimates generated from figures you enter. They are not a quote, a projection, a forecast, or a representation of results you will achieve. Calculator results exclude PSM fees and exclude your own labor, equipment, materials, financing, and other operating costs. Your actual results depend on factors specific to your business and market, many of which are outside our control.

Service-area availability shown on the Site reflects our records at the time of your check and is subject to change. Availability is not reserved until a written service agreement is signed.

2. No offer and no contract formed by the Site

Nothing on this Site constitutes an offer to provide services, and nothing on this Site creates a contractual obligation on its own.

This includes any description of our guarantee. Guarantee descriptions on this Site are summaries provided for general information. Any guarantee PSM offers, and the complete terms, conditions, remedies, and limitations that apply to it, exist only in a written service agreement signed by both parties. In the event of any difference between this Site and a signed service agreement, the signed service agreement governs in all respects.

Any engagement with PSM is governed exclusively by that written agreement. You will have the opportunity to review it in full before signing.

3. Eligibility and accuracy of information

The Site is intended for business owners and authorized representatives of businesses. By submitting information, you confirm that you are at least 18 years old, that you are authorized to submit it on behalf of the business named, and that the information you provide is accurate.

4. Acceptable use

You agree not to:

Use the Site for any unlawful purpose or in violation of these Terms Submit false, misleading, or fraudulent information Attempt to gain unauthorized access to the Site or any related systems Copy, scrape, harvest, or systematically extract content or data from the Site Interfere with the operation, security, or availability of the Site Use the Site to send unsolicited communications

We may restrict or terminate access to the Site at any time, without notice, for conduct we reasonably believe violates these Terms.

5. Intellectual property

All content on the Site — including text, graphics, layout, design, logos, and the Prime Shot Media name and marks — is owned by PSM or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from Site content without our prior written permission.

Information you submit through the Site remains yours. By submitting it, you grant us permission to use it for the purposes described in our Privacy Policy.

6. Third-party links and services

The Site may link to or rely on third-party websites and services. We do not control those services and are not responsible for their content, availability, or practices. Your use of a third-party service is governed by that provider's own terms.

7. Disclaimer of warranties

The Site is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. We do not warrant that the Site will be error-free or that any information on it is complete or current.

8. Limitation of liability

To the fullest extent permitted by applicable law, PSM and its officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, or lost data, arising out of or relating to your use of the Site — whether based in contract, tort, or any other legal theory, and whether or not we were advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to the Site will not exceed one hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

This section applies to the Site only. Liability arising from services delivered under a signed service agreement is governed by that agreement.

9. Indemnification

You agree to indemnify and hold harmless PSM and its officers, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site, your submission of information, or your violation of these Terms.

10. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the courts located in Ontario, and you consent to the personal jurisdiction of those courts.

11. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force.

12. Changes to these Terms

We may update these Terms at any time. The current version always appears on this page with a revised "Last updated" date. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
